Terms of Service for Galveston Center for Innovation & Transformation (GCIT)

These Terms of Service (the “Terms”) govern your access to and use of the website located at galvestoncit.org (the “Site”), operated by the Galveston Center for Innovation & Transformation (“GCIT,” “we,” “us” or “our”). GCIT is a 501(c)(3) nonprofit organization dedicated to fostering innovation, resilience and economic opportunity for Galveston. By accessing or using the Site, you acknowledge that you have read, understood and agreed to be bound by these Terms. If you do not agree to these Terms, please do not use the Site.

We reserve the right to revise these Terms at any time. We will post the revised Terms on the Site and may indicate the date of last revision. Your continued use of the Site after any changes constitutes acceptance of those changes. Because the Terms may change, you should review them periodically.

The Site is provided for informational and educational purposes and to facilitate support for GCIT’s mission. Through the Site you may:

• Learn about GCIT’s mission and programs. GCIT works to advance sustainable development, disaster preparedness and economic opportunity in Galveston.
• Review research and data, resilience initiatives, emerging technology projects, workforce development programs and educational events.
• Make donations or sponsorships, including student participation sponsorships, career fair sponsorships, scholarships and general donations.
• Contact us or submit partnership ideas using our online form.

You agree to use the Site only for lawful purposes and in accordance with these Terms. You may not use the Site to engage in any activity that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene or otherwise objectionable, or that interferes with or disrupts the Site or any servers or networks connected to the Site.

The Site is intended for use by individuals who are at least 13 years old. To make a donation or sponsorship through the Site, you must be at least 18 years of age or the age of majority in your jurisdiction and capable of forming a binding contract. By using the Site, you represent and warrant that you meet these requirements.

GCIT is a nonprofit organization. Donations and sponsorships made through the Site support our mission to build a resilient and innovative community in Galveston. When you make a donation or sponsorship:

All content on the Site—including text, graphics, logos, photographs, images, videos, data, software and other materials (collectively, “Content”)—is owned by or licensed to GCIT or our licensors and is protected by U.S. and international intellectual property laws. The GCIT name, logo and other trademarks are owned by GCIT. You may view, download or print limited copies of Content for personal, non‑commercial use only, provided you do not remove any copyright or other proprietary notices. You may not modify, reproduce, distribute, publicly display or otherwise use any Content for commercial purposes without our prior written permission.

Any feedback, comments, questions, ideas or other materials you submit to us through the Site (collectively, “Submissions”) are non‑confidential. By providing a Submission, you grant GCIT a royalty‑free, perpetual, irrevocable, sublicensable and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute and display such Submissions throughout the world in any media. You represent and warrant that you own or have the rights necessary to grant this license and that your Submissions do not infringe any rights of third parties.

We respect your privacy. By using the Site, you consent to the collection, use and disclosure of personal information as described in our Privacy Policy. GCIT and our third‑party service providers may use cookies and similar technologies to improve the Site and analyze usage. THE SITE AND ALL CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON‑INFRINGEMENT. GCIT DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED OR ERROR‑FREE, THAT DEFECTS WILL BE CORRECTED OR THAT THE SITE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE MAKE NO REPRESENTATIONS OR WARRANTIES REGARDING THE ACCURACY, COMPLETENESS OR RELIABILITY OF ANY CONTENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GCIT AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS AND VOLUNTEERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF GCIT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL GCIT’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SITE EXCEED THE GREATER OF (A) THE AMOUNT, IF ANY, YOU PAID FOR ACCESSING THE SITE OR (B) ONE HUNDRED U.S. DOLLARS ($100).

You agree to defend, indemnify and hold harmless GCIT, its affiliates and their respective directors, officers, employees, agents and volunteers from and against any claims, liabilities, damages, losses and expenses (including reasonable attorneys’ fees) arising out of or relating to your use of the Site, your violation of these Terms or your violation of any rights of another person or entity.

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including if you violate these Terms. Upon termination, your right to use the Site will immediately cease, and you must immediately discontinue all use of the Site. Sections 6–15 of these Terms will survive any termination.

These Terms and any disputes arising out of or relating to them or the Site are governed by the laws of the State of Texas, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Galveston County, Texas, and waive any objection to such jurisdiction or venue.

The Site is controlled and operated from the United States. We do not make any representation that the Site is appropriate or available for use in other jurisdictions. Users who access the Site from other countries do so on their own initiative and are responsible for compliance with applicable local laws. You may not use the Site or export any materials in violation of U.S. export laws and regulations.

These Terms constitute the entire agreement between you and GCIT regarding your use of the Site and supersede any prior or contemporaneous understandings. If any provision of these Terms is found to be invalid or unenforceable, that provision will be severed, and the remainder of the Terms will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
